April 3, 2002 9:12AM - Solium Signs Letter of Intent to Purchase Stormworks

CALGARY, ALBERTA-Solium Capital Inc. ("Solium") announced that it has signed a letter of intent for the purchase of all of the issued and outstanding common shares of Stormworks Ltd. ("Stormworks"), a private company engaged in providing technical services in the area of e-commerce. The transaction is expected to have a value of $475,000 and take the form of a share-for-share exchange whereby Solium would issue 2,375,000 common shares at $0.20 per share. It is expected that the transaction will close before the end of April 2002. The combination of the two businesses is expected to bring certain advantages and efficiencies to Solium's business through the internalization of development and systems skills. In addition, it is expected that Brian Craig, the president and principal shareholder of Stormworks and the current Chairman of Solium's Board of Directors, would assume the role of President and CEO of the combined entity. Mr. Craig is a former president of Merak Projects Ltd. and is a co-founder and director of Peyto Exploration & Development Corp., which currently trades on the Toronto Stock Exchange.

Concurrent with the closing of the Stormworks transaction, Solium is planning an equity financing to be issued through private placement. Solium will issue up to 5,000,000 common shares from treasury at a price of $0.20 per common share. The company proposes to complete the financing by way of a non-brokered private placement, with issued common shares subject to a four-month trading restriction. The financing replaces the terms previously announced on January 25, 2002, which did not close.
